Training Services Agreement

This Training Services Agreement is made and entered into by and between THALITA LEITE LLC, a Massachusetts limited liability company with its principal place of business located at 947 Main Street, Weymouth, Massachusetts 02190, and the Student.

1. Scope of Training Services

THALITA LEITE LLC agrees to provide the Student with training in the patented Thalita Leite Curl-Hair Defining Method. The Training shall consist of both theoretical instruction and hands-on practice.

• Technical Skills: Fundamentals of curl patterns, treatment of various curl types, and analysis of hair strands to determine the most effective treatment approach.
• Sales and Client Acquisition: Strategies to sell services related to the Thalita Leite Curl-Hair Defining Method, attract new clients, retain existing clients, and build a sustainable client base.
• Marketing and Branding: Creation and implementation of marketing strategies, including social media and brand visibility tools.
• Portfolio Development and Photography: Building a professional portfolio and capturing high-quality, style-focused photographs of treatment results.
• Service Name Usage: The Student agrees not to alter, rebrand, or rename the treatment without prior written consent from THALITA LEITE LLC. The official service name is the Thalita Leite Treatment.

1.2 Location

The Training will take place at 947 Main St., Weymouth, Massachusetts, unless otherwise agreed in writing by the Company.

1.3 Course Level and Certification

The Training may be structured in multiple levels. Upon successful completion of each level, the Student may receive a Certificate of Completion.

1.4 Training Materials

The Company shall provide necessary course materials, including documents, instructional slides, and other resources. All such materials remain the exclusive property of THALITA LEITE LLC.

2. Payment Terms

The total fees due under this Agreement shall be $0. The Student agrees to pay a nonrefundable deposit of $0 on the date the spot is reserved. The remaining balance shall be paid according to the separate payment plan agreement or payment arrangement between the parties. The total amount must be paid no later than 15 days before the class unless otherwise approved in writing by the Company.

If the Student uses third-party financing to pay tuition, the Student agrees to provide valid identification and complete any required financing documentation. In the event of termination or cancellation by the Student or Company for any reason, the Company shall not be obligated to refund any fees paid by the Student, except at the Company’s sole discretion.

3. License and Access

Upon full payment, the Student is granted a non-exclusive, non-transferable license to use the training materials for personal education and professional development only. This license does not grant the Student any right to teach, distribute, or commercially exploit the Academy Services or training materials.

The Student shall not teach, distribute, or otherwise use the Thalita Leite Curl-Hair Defining Method in any commercial or instructional capacity without prior written consent from the Company. The Student also agrees to use only products provided or authorized by THALITA LEITE LLC in conjunction with the Method.

4. Confidentiality and Non-Disclosure

The Student acknowledges that they may be exposed to proprietary and confidential information relating to the Company’s methods, techniques, and business practices. The Student agrees not to disclose, share, distribute, or make available any confidential information, trade secrets, methodologies, business strategies, or materials related to the Thalita Leite Curl-Hair Defining Method without written consent from THALITA LEITE LLC.

5. Student Obligations

• Attend the Training as scheduled and actively participate in all instructional activities.
• Pay all applicable fees in a timely manner.
• Refrain from distributing, sharing, or disseminating any Training materials or content without written consent.
• Maintain appropriate and professional behavior during the Training. THALITA LEITE LLC reserves the right to dismiss a Student without refund for harassment, inappropriate conduct, or disruptive behavior.
• Upon completion of the Training, set the price of the Thalita Leite Treatment method to no less than $250 unless written permission is granted by THALITA LEITE LLC.

5.2 Professor’s Obligations

• Provide high-quality, professional instruction in the Academy Services.
• Provide the Student with necessary course materials and access to the curriculum.
• Maintain a professional and respectful environment during the Training.
• Coordinate a curly hair model for practical training purposes in advance of the relevant session.
• Provide two months of online customer support following completion of the Training, by prior appointment only, Monday, Tuesday, Wednesday, and Friday, from 9:00 AM to 5:00 PM Eastern Standard Time, subject to the trainer’s availability.
• After the two-month support period, additional guidance may be available through the Advanced Thalita Leite Treatment Class at the Student’s expense and at the Professor’s discretion.

6. Termination and Rescheduling

The Company may terminate this Agreement immediately if the Student fails to comply with the terms of this Agreement, including failure to make payment or failure to act professionally. No refunds will be issued in the event of termination by the Company.

The Student may terminate or cancel this Agreement by providing written notice at least 30 days before the Training begins. The Student acknowledges that no refund will be issued and full payment remains due according to the terms of this Agreement.

The Student may request rescheduling by providing written notice at least 30 days before the scheduled commencement date. Rescheduling requests submitted less than 30 days before the Training may be denied at the Company’s sole discretion.

7. Indemnification and Limitation of Liability

The Student agrees to indemnify, defend, and hold harmless THALITA LEITE LLC, its officers, employees, agents, and affiliates from any and all claims, liabilities, damages, and expenses arising from the Student’s participation in the Training or use of any materials provided. THALITA LEITE LLC shall not be liable for any damages, injuries, or harm encountered by the Student or their clients after completion of the Training.

In no event shall THALITA LEITE LLC be liable for any indirect, incidental, consequential, or punitive damages arising from this Agreement, the Training, or any materials provided.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the Commonwealth of Massachusetts. Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, and arbitration shall take place in Massachusetts.

9. Miscellaneous

This Agreement constitutes the entire understanding between the parties. Any amendments must be made in writing and signed by both parties. If any provision is found invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

10. Force Majeure

Neither party shall be liable for failure or delay in performance, except for payment obligations, if such failure or delay is caused by events beyond its control, including labor disputes, civil commotion, war, fires, floods, inclement weather, governmental regulations, casualty, government authority, strikes, or acts of God.

Appendix A — Course Outline

Course Duration: Four days.

• 1st day: Theory and watching.
• 2nd day: Hands-on training.
• 3rd day: Theory and watching.
• 4th day: Hands-on training.

The course may include: Thalita’s story, fundamentals about curly hair, curl types, frizz and shape patterns, consultation, pricing, marketing, client acquisition, product usage, product application, sectioning, hair texture analysis, styling, marketing plan creation, portfolio development, and professional photography guidance.
